1. ABOUT THESE TERMS

1.1 These Terms & Conditions apply to the sale and supply of goods, machinery, equipment, consumables, accessories and related products by Xtreme Precision Engineering Ltd, trading as Xtreme Plasma ("Xtreme Plasma", "we", "us" or "our").

1.2 By placing an order with us, you agree to these Terms & Conditions, together with any specific quotation, order confirmation or other written terms expressly agreed between you and Xtreme Plasma.

1.3 These Terms form part of the contract between Xtreme Plasma and the customer.

1.4 Where there is a conflict between these Terms and a specific written quotation or order confirmation issued by us, the specific written terms shall take precedence to the extent of that conflict.

1.5 These Terms apply to both business customers and consumers. Where mandatory consumer legislation provides a consumer with rights which cannot legally be excluded or restricted, those rights shall apply regardless of anything contained in these Terms.

1.6 Nothing in these Terms is intended to exclude or restrict any liability or legal right which cannot lawfully be excluded or restricted.


2. BUSINESS AND CONSUMER CUSTOMERS

2.1 Xtreme Plasma supplies goods to businesses, sole traders, partnerships, companies, organisations and private individuals.

2.2 Where goods are purchased wholly or mainly for business purposes, the customer may be treated as a business customer, subject to applicable law.

2.3 Where a customer is acting as a consumer, applicable consumer legislation shall apply.

2.4 Nothing in these Terms removes or limits a consumer's statutory rights relating to goods being:

  • as described;
  • of satisfactory quality;
  • fit for purpose where applicable;
  • supplied in accordance with the contract; or
  • otherwise subject to statutory remedies.

2.5 Where a customer is purchasing goods for business purposes, the customer should ensure that the goods are appropriate for the intended commercial or industrial application before placing the order.


3. WEBSITE INFORMATION AND PRODUCT DESCRIPTIONS

3.1 We make reasonable efforts to ensure that information displayed on our website, quotations, brochures and other sales material is accurate.

3.2 Product images are for illustration and may not always represent the exact specification, colour, packaging or configuration supplied.

3.3 Manufacturers may change specifications, components, packaging or product features from time to time.

3.4 Where a manufacturer changes a specification, we may supply the current equivalent product where it remains materially equivalent to the product ordered.

3.5 Dimensions, weights, capacities, cutting thicknesses, duty cycles, electrical requirements, performance figures and other technical information should be regarded as manufacturer's or indicative information unless expressly confirmed by us in writing.

3.6 Where a particular specification is essential to the customer's intended application, the customer should obtain written confirmation from Xtreme Plasma before placing an order.

3.7 Customers should not rely solely on website descriptions where a particular technical specification is critical to their intended application.


4. PRODUCT ADVICE AND RECOMMENDATIONS

4.1 Xtreme Plasma may provide general advice concerning product selection, compatibility, electrical requirements, duty cycles, anticipated use, expected service life and suitability.

4.2 Such advice is provided in good faith based on the information available to us and information supplied by the customer.

4.3 Unless expressly agreed in writing, advice provided by Xtreme Plasma does not constitute a site survey, electrical survey, engineering design, risk assessment, installation survey or guarantee that a product will be suitable for every particular application.

4.4 Xtreme Plasma may recommend products based on factors including:

  • intended application;
  • anticipated workload;
  • duty cycle;
  • expected usage;
  • material to be processed;
  • electrical supply;
  • compressed-air availability;
  • expected service life;
  • compatibility with other equipment; and
  • information supplied by the customer.

4.5 Such recommendations are based on the information available to us and cannot guarantee that a product will meet every individual customer's requirements.

4.6 Customers remain responsible for providing accurate information regarding:

  • intended application;
  • materials to be processed;
  • required production levels;
  • electrical supply;
  • compressed-air supply;
  • workspace;
  • ventilation;
  • extraction;
  • installation conditions;
  • operator requirements;
  • environmental conditions; and
  • other relevant site or operational requirements.

4.7 Where a customer provides incomplete or inaccurate information, Xtreme Plasma cannot be responsible for a recommendation being unsuitable as a result of that information.

4.8 Customers should obtain appropriate professional advice where the application involves significant electrical, structural, mechanical, safety or regulatory considerations.


5. ORDERS AND CONTRACT FORMATION

5.1 An order placed through our website, by telephone, email, in-store or by another method constitutes an offer to purchase goods.

5.2 An order is not accepted until we have accepted it, confirmed it, dispatched the goods or otherwise indicated acceptance.

5.3 We reserve the right to decline an order where:

  • the product is unavailable;
  • the product has been discontinued;
  • there is an obvious pricing or description error;
  • we are unable to obtain the product from our supplier;
  • the order cannot reasonably be fulfilled;
  • payment cannot be authorised; or
  • we reasonably believe that the transaction cannot be completed in accordance with applicable law.

5.4 If we cancel an order before dispatch because the product cannot be supplied, any payment received for that order will be refunded.

5.5 A contract may be formed electronically and confirmation may be provided by email or other electronic means.


6. ONLINE AND DISTANCE SALES

6.1 Where a consumer purchases goods online or through another qualifying distance-selling method, applicable consumer distance-contract legislation applies.

6.2 Before placing an online order, customers will be provided with information required by applicable law, including relevant information concerning:

  • the goods;
  • price;
  • taxes;
  • delivery;
  • payment;
  • cancellation rights;
  • returns;
  • applicable exceptions; and
  • other legally required information.

6.3 Where applicable, consumers purchasing goods online have a statutory right to cancel their order within the applicable cancellation period without giving a reason.

6.4 The statutory cancellation period generally begins when the consumer receives the goods and is normally 14 days, subject to applicable legislation and exceptions.

6.5 Where a consumer exercises a statutory cancellation right, we will process the cancellation and refund in accordance with applicable law.

6.6 Certain goods may be excluded from statutory cancellation rights, including certain personalised, bespoke or made-to-customer-specification goods and other categories specified by law.

6.7 A product being specially ordered from a supplier does not, by itself, remove a consumer's statutory cancellation rights.

6.8 Nothing in these Terms prevents a consumer from exercising a statutory right of cancellation.

6.9 Where a statutory cancellation right applies, the customer must follow our reasonable returns instructions and return the goods within the period required by law.

6.10 Where permitted by law, the customer may be responsible for the direct cost of returning goods following cancellation where the applicable cancellation information has been provided to the customer before the contract was entered into.


7. IN-STORE AND PHYSICAL SHOP PURCHASES

7.1 Customers purchasing goods directly from our physical premises should inspect the goods and satisfy themselves as to suitability before purchase where reasonably possible.

7.2 For consumer purchases made in-store, there is generally no statutory right to return goods simply because the customer has changed their mind.

7.3 Unless otherwise expressly stated by us, we do not provide a general change-of-mind refund policy for goods purchased directly from our physical shop.

7.4 This does not affect statutory rights relating to goods which are faulty, not as described, not of satisfactory quality, not fit for purpose where applicable, or otherwise fail to meet mandatory legal requirements.

7.5 Any discretionary return offered by Xtreme Plasma is subject to our prior agreement and any reasonable conditions we specify.


8. SPECIAL-ORDER, NON-STOCK AND SPECIALLY PROCURED PRODUCTS

8.1 Some products are not normally held in stock by Xtreme Plasma and may be specially ordered or procured from a manufacturer, distributor or other supplier following a customer's order.

8.2 This may include, without limitation:

  • welders;
  • plasma cutters;
  • specialist welding equipment;
  • specialist machinery;
  • specially configured equipment;
  • products ordered specifically to customer requirements;
  • products sourced specifically for a particular customer; and
  • products which Xtreme Plasma does not normally hold in stock.

8.3 Where a product is to be specially ordered or procured, Xtreme Plasma may inform the customer before the order is placed that the product is subject to specific cancellation or return conditions imposed by the relevant supplier.

8.4 For business customers, where Xtreme Plasma has specifically ordered or procured goods from a supplier following the customer's confirmed order, the customer may not cancel or return those goods simply because they have changed their mind, no longer require them or have subsequently found an alternative product, unless Xtreme Plasma agrees otherwise in writing or the customer has a legal right to do so.

8.5 Where the relevant supplier will not accept cancellation or return of specially procured goods, Xtreme Plasma may be unable to accept cancellation or return from a business customer.

8.6 For consumer customers, any statutory cancellation or other consumer rights which apply to the transaction remain unaffected. A product being specially ordered from a supplier does not, by itself, remove a statutory consumer right.

8.7 Where a product is genuinely personalised, bespoke or made to the customer's specification, any applicable statutory exception to cancellation may apply.

8.8 Where a return is not legally required but Xtreme Plasma agrees to accept a return as a goodwill gesture, we may impose reasonable conditions concerning:

  • product condition;
  • packaging;
  • accessories;
  • documentation;
  • collection or return;
  • carriage costs;
  • supplier charges;
  • restocking; and
  • other reasonable costs arising from the agreed return.

8.9 We will not impose any condition or charge where doing so would conflict with mandatory consumer law.

8.10 Customers purchasing specially ordered or procured products should ensure that the product is suitable for their intended application before confirming the order, particularly where the product is not normally stocked by Xtreme Plasma.


9. SPECIALIST MACHINERY AND EQUIPMENT – USE, DAMAGE AND RETURNS

9.1 Specialist machinery and equipment requires particular care because its condition, service history, usage and operating hours can materially affect its value, safety and suitability for resale.

9.2 This section applies, where relevant, to specialist machinery and equipment including:

  • CNC plasma cutting tables;
  • CNC plasma machines;
  • ArcDroid and similar CNC equipment;
  • plasma cutting machines;
  • welding machines;
  • specialist welding equipment;
  • compressors;
  • extraction equipment;
  • water chillers and cooling equipment;
  • specialist fabrication equipment; and
  • other machinery or equipment identified by Xtreme Plasma as specialist equipment.

9.3 Where a consumer exercises a statutory cancellation right in relation to qualifying goods purchased at a distance, the consumer may handle the goods only to the extent necessary to establish their nature, characteristics and functioning, in accordance with applicable law.

9.4 Specialist machinery is not supplied on the basis that a consumer may put it into normal production or commercial use during a cancellation period and subsequently return it in a used or damaged condition.

9.5 Unless necessary to establish the nature, characteristics and functioning of the machinery, customers must not, before deciding to retain the goods:

  • undertake production work;
  • cut materials;
  • weld materials;
  • machine materials;
  • commence commercial or industrial operation;
  • subject the equipment to prolonged operation;
  • modify the machinery;
  • remove safety equipment;
  • alter electrical or mechanical components;
  • install permanent accessories;
  • remove components;
  • change factory settings where doing so may affect the condition or value of the equipment; or
  • otherwise use the equipment beyond what is reasonably necessary for inspection and assessment.

9.6 Where machinery has been used beyond what is reasonably necessary to establish its nature, characteristics and functioning, and such use causes a reduction in value, Xtreme Plasma reserves the right to recover the amount of that reduction in value to the extent permitted by law.

9.7 A reduction in value may arise from, without limitation:

  • physical damage;
  • excessive wear;
  • scratches, dents or other cosmetic damage;
  • contamination;
  • cutting marks;
  • damage to cutting beds or slats;
  • damage to torches;
  • damage to cables;
  • damage to motors, drives or mechanical components;
  • damage resulting from incorrect operation;
  • missing components;
  • missing accessories;
  • missing manuals or documentation;
  • removal of protective packaging or components;
  • unauthorised modification;
  • installation damage;
  • damage caused by incorrect electrical or compressed-air connection;
  • damage caused by incorrect consumables;
  • damage caused by operating outside the manufacturer's specifications;
  • restoration or cleaning required because of excessive use;
  • testing required because of excessive use; and
  • any resulting reduction in resale value.

9.8 Where legally permitted, Xtreme Plasma may deduct the appropriate reduction in value from any refund otherwise due following a statutory cancellation.

9.9 Where the condition of returned specialist machinery makes it unsuitable for resale as new, the customer may be responsible for the resulting reduction in value to the extent permitted by law.

9.10 Xtreme Plasma may inspect and test returned specialist machinery to determine its condition and whether its value has been reduced.

9.11 Where specialist machinery has been returned following use beyond what is reasonably necessary for inspection, Xtreme Plasma may provide the customer with reasonable details of any reduction in value claimed.

9.12 Nothing in this section limits a consumer's statutory rights where the goods are faulty, defective, not as described, not of satisfactory quality or otherwise fail to comply with the contract.

9.13 A fault which existed at the time of delivery is not treated as customer-caused damage merely because the customer has exercised a statutory right.


10. BUSINESS CUSTOMERS – SPECIALIST MACHINERY

10.1 Where specialist machinery is purchased by a business customer, the customer's order is binding subject to the agreed contract.

10.2 Unless otherwise agreed in writing, business customers do not have a general statutory right to return goods simply because they have changed their mind or subsequently decide that the machinery is no longer required.

10.3 Where machinery has been specially ordered or procured for a business customer, cancellation or return may only be made with Xtreme Plasma's prior written agreement, subject to the terms of the contract.

10.4 Where Xtreme Plasma agrees to accept a return from a business customer, the customer may be responsible for reasonable costs arising from:

  • supplier cancellation charges;
  • supplier return charges;
  • collection;
  • carriage;
  • inspection;
  • testing;
  • refurbishment;
  • restocking;
  • depreciation; and
  • other reasonable costs directly arising from the agreed return.

10.5 Nothing in this section limits any rights or remedies which cannot lawfully be excluded.


11. PAYMENT, DEPOSITS AND SPECIAL ORDERS

11.1 Payment must be made using the payment method offered at the time of order unless otherwise agreed in writing.

11.2 We may require a deposit or full payment before ordering specialist, bespoke, non-stock or special-order goods.

11.3 Where a deposit is requested, the circumstances in which it may be refundable or non-refundable will be communicated before the order is confirmed, subject to applicable law.

11.4 For business customers, deposits or payments relating to goods specially ordered from suppliers may be non-refundable where the supplier will not accept cancellation or return and where such terms are legally enforceable.

11.5 Nothing in this section limits a consumer's statutory rights.


12. DELIVERY

12.1 We will provide estimated delivery times where reasonably possible.

12.2 Delivery dates are estimates unless a specific delivery date has been expressly agreed in writing.

12.3 Delays may occur because of manufacturers, suppliers, couriers, transport operators, shortages or circumstances outside our reasonable control.

12.4 Where consumer law requires delivery within a particular period, we will comply with the applicable statutory requirements unless another period has been lawfully agreed.

12.5 Customers should inspect goods as soon as reasonably practicable after delivery.

12.6 Any visible transport damage should be reported to us as soon as possible and, where appropriate, noted with the carrier.

12.7 Reporting transport damage does not remove any statutory rights.


13. RETURNS, REFUNDS AND FAULTY GOODS

13.1 Our returns procedure depends upon whether the customer is a consumer or business customer and whether the return is:

  • a statutory cancellation;
  • a faulty-goods return;
  • a warranty claim; or
  • a discretionary return.

13.2 Consumers retain all statutory rights relating to faulty, misdescribed, unsafe or otherwise non-conforming goods.

13.3 Where goods are faulty, the remedies available to a consumer will depend upon the circumstances and applicable legislation.

13.4 Manufacturer warranties do not replace or reduce statutory consumer rights.

13.5 Business customers should notify Xtreme Plasma of defects as soon as reasonably practicable.

13.6 For business customers, contractual rights relating to defects, warranties and remedies shall be subject to applicable law and any express terms agreed between the parties.

13.7 We will not exclude liability for matters which cannot legally be excluded.


14. MANUFACTURER WARRANTIES

14.1 Some products are supplied with a manufacturer's warranty.

14.2 Manufacturer warranty periods, exclusions and procedures vary between products.

14.3 Where appropriate, Xtreme Plasma may assist customers with manufacturer warranty claims.

14.4 Manufacturer warranties do not remove statutory rights.

14.5 Warranty claims may be rejected by the manufacturer where the product has been:

  • incorrectly installed;
  • incorrectly operated;
  • modified without authorisation;
  • subjected to misuse;
  • operated outside specified conditions;
  • inadequately maintained; or
  • damaged through circumstances outside the manufacturer's warranty.

14.6 Nothing in this section affects mandatory consumer rights.


15. BUNDLES, PACKAGES AND COMPATIBILITY RECOMMENDATIONS

15.1 Products shown together on our website, advertisements, quotations or sales discussions may be presented as a recommended combination or package for convenience.

15.2 Unless expressly stated otherwise in writing, the individual products remain separate products supplied by their respective manufacturers.

15.3 Examples include:

  • recommending a particular plasma cutter for use with an ArcDroid;
  • recommending a plasma cutter for an Xtreme CNC plasma table;
  • recommending a water cooler for a particular welder;
  • recommending a compressor for a particular machine; or
  • recommending consumables for a particular product.

15.4 A recommendation that products may be suitable for use together does not necessarily mean that Xtreme Plasma has manufactured, modified or integrated those products into a single machine.

15.5 Customers remain responsible for checking that the complete proposed installation is appropriate for their intended use and operating environment.

15.6 Where products are separately functioning products and are not physically or functionally integrated by Xtreme Plasma, each product remains subject to its own manufacturer's specifications, instructions, conformity documentation and safety requirements.

15.7 Where Xtreme Plasma manufactures, modifies or integrates machinery or equipment in a manner that creates additional regulatory responsibilities, we will address those responsibilities as required by applicable law.


16. MACHINERY, CE, UKCA AND PRODUCT COMPLIANCE

16.1 Machinery and equipment supplied by Xtreme Plasma are subject to the legislation and regulatory requirements applicable to the particular product and market.

16.2 For machinery supplied in Great Britain, the Supply of Machinery (Safety) Regulations 2008 remain applicable to relevant machinery.

16.3 Depending upon the product and applicable legislation, products may be supplied using CE or UKCA conformity arrangements where legally permitted.

16.4 Customers must use machinery and equipment in accordance with:

  • supplied instructions;
  • safety information;
  • manufacturer's specifications;
  • applicable legislation;
  • applicable risk assessments; and
  • safe operating procedures.

16.5 Customers must not remove, alter or bypass safety devices, guards, interlocks, electrical protection, emergency stops or other safety features.

16.6 Customers who modify machinery, integrate machinery with other equipment or substantially change its intended use may assume additional legal and regulatory responsibilities depending upon the nature of the modification or assembly.

16.7 Nothing in these Terms transfers a legal responsibility that cannot lawfully be transferred.


17. INSTALLATION, ELECTRICAL SUPPLY AND SITE CONDITIONS

17.1 Unless expressly agreed otherwise in writing, Xtreme Plasma does not automatically provide a site survey, electrical survey, structural survey, extraction survey, compressed-air survey or installation assessment.

17.2 The customer is responsible for ensuring that the intended installation location is suitable.

17.3 This may include ensuring adequate:

  • electrical capacity;
  • electrical protection;
  • earthing;
  • compressed air;
  • ventilation;
  • extraction;
  • floor strength;
  • access;
  • working space;
  • lighting; and
  • environmental conditions.

17.4 Electrical installation work should be carried out by a suitably competent and appropriately qualified person where required.

17.5 Customers must comply with applicable health and safety legislation and workplace requirements.

17.6 Xtreme Plasma may provide technical guidance based on information supplied by the customer, but unless a formal survey or engineering service has been expressly agreed, such guidance does not constitute confirmation that the customer's premises or installation are compliant.


18. GAS CYLINDERS AND CYLINDER DEPOSITS

18.1 Where gas cylinders are supplied subject to a deposit, rental, ownership or supplier arrangement, the applicable terms will be communicated to the customer.

18.2 Cylinder deposits are separate from the cost of gas unless expressly stated otherwise.

18.3 Return of cylinders and recovery of deposits may be subject to the supplier's conditions.

18.4 Customers must use, transport and store gas cylinders safely and in accordance with applicable law and manufacturer or supplier instructions.


19. COPYRIGHT AND INTELLECTUAL PROPERTY

19.1 Unless otherwise stated, content on the Xtreme Plasma website, including text, photographs, graphics, logos, designs, videos, software and other material, is owned by or licensed to Xtreme Precision Engineering Ltd.

19.2 Content may not be copied, reproduced, modified, distributed or commercially exploited without prior written permission, except where permitted by law.

19.3 Product names, logos and trademarks belonging to third-party manufacturers remain the property of their respective owners.


20. WEEE AND ENVIRONMENTAL RESPONSIBILITIES

20.1 Electrical and electronic equipment may be subject to Waste Electrical and Electronic Equipment legislation.

20.2 Customers must dispose of electrical and electronic equipment responsibly and in accordance with applicable waste legislation.

20.3 Where a specific WEEE take-back obligation applies to Xtreme Plasma, we will comply with applicable legal requirements.


21. LIMITATION OF LIABILITY

21.1 Nothing in these Terms excludes or limits liability which cannot legally be excluded or limited.

21.2 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.

21.3 For consumer customers, nothing in these Terms limits statutory consumer rights or remedies.

21.4 For business customers, Xtreme Plasma shall not be liable for indirect or consequential loss to the extent that such exclusion is lawful and reasonable.

21.5 Subject to applicable law, indirect or consequential losses may include loss of profit, loss of production, loss of business, loss of contracts, loss of anticipated savings or business interruption.

21.6 Nothing in this section permits Xtreme Plasma to avoid responsibility for defective or poor-quality goods where applicable law prevents such limitation.


22. EVENTS OUTSIDE OUR REASONABLE CONTROL

22.1 We shall not be responsible for delay or failure caused by circumstances outside our reasonable control.

22.2 Such circumstances may include:

  • supplier failure;
  • manufacturer delays;
  • shortages;
  • transport disruption;
  • strikes;
  • industrial disputes;
  • fire;
  • flood;
  • severe weather;
  • power failure;
  • cyber incidents;
  • government action;
  • changes in law;
  • customs delays;
  • pandemics; or
  • other events beyond our reasonable control.

22.3 Where such circumstances occur, we will take reasonable steps to minimise the effect on the customer.

22.4 This section does not remove any consumer rights that cannot lawfully be excluded.


23. COMPLAINTS AND PRODUCT ISSUES

23.1 We aim to resolve customer complaints fairly and promptly.

23.2 Customers should contact us as soon as possible where there is a problem with an order, product or service.

23.3 Please provide, where available:

  • order number;
  • invoice number;
  • product details;
  • photographs;
  • description of the issue; and
  • relevant supporting information.

23.4 We may request reasonable information to investigate a fault or product issue.

23.5 Nothing in this complaints procedure prevents a consumer from exercising a statutory right.


24. PRIVACY

24.1 Personal information will be processed in accordance with our Privacy Policy and applicable UK data protection legislation.

24.2 Customers should refer to our Privacy Policy for information concerning the collection, use and storage of personal information.


25. CHANGES TO THESE TERMS

25.1 We may update these Terms from time to time.

25.2 The version applicable to an order will normally be the version in force when the order is accepted, unless otherwise required by law or agreed in writing.

25.3 Changes to these Terms will not retrospectively remove rights already acquired by a customer.


26. GOVERNING LAW AND JURISDICTION

26.1 These Terms are governed by the law of England and Wales.

26.2 Where the customer is a consumer, nothing in this clause deprives the consumer of any mandatory protection or right to bring proceedings in a jurisdiction available to them under applicable law.

26.3 Where the customer is a business, the courts of England and Wales shall have jurisdiction, subject to any alternative jurisdiction expressly agreed in writing.

CUSTOMER NOTICE – SPECIALIST MACHINERY

Specialist machinery and equipment can be high-value products whose condition, operating hours, service history and physical condition materially affect their value, safety and suitability for resale.

Customers should therefore satisfy themselves that specialist machinery is suitable for their intended application before purchase wherever possible.

Where a consumer has a statutory right to cancel an online purchase, that right remains protected. However, the cancellation right does not generally entitle a customer to use specialist machinery for normal production, commercial or industrial purposes and then return it as though it were unused.
