4. Terms and Conditions of Sale
"Goods" means any goods and/or services provided by the Company as ordered by the Client "Company" means Xtreme Precision Engineering Ltd.
"Client" means the person, firm or company placing an order/paying for goods/services with the Company
These terms and conditions apply to any provision of services or goods by the Company to the Client.
All Goods sold by the Company are sold subject to the Company's standard terms and conditions (as detailed below) which form part of the Client's contract with the Company. Terms and conditions on the Client's order form or other similar document shall not be binding on the Company.
The prices, quantities and delivery time stated in any quotation are not binding on the Company. They are commercial estimates only which the Company will make reasonable efforts to achieve.
The Company will use its best endeavours to supply goods and services to the client within any quoted time but time will not be of the essence of the contract.
The risk of loss or damage to the Goods shall pass to the Client upon delivery of the Goods.
Delivery by the Company will be deemed to have taken place when the goods are handed to the custody of the Client at his premises or to a deputed messenger or courier when posted. The Company will be entitled to charge the Client for any expenses of delivery other than normal shipping charges.
If additional attempts on delivery need to be made by the Company, for any reason whatsoever, the Company shall charge the Client accordingly to supply this additional service.
Delivery charges for products requiring return will be paid for by the Client in full and shall not be charged back to the Company.
The Company shall request that any item or items returned shall be received in the same condition as was sent, to include the same amount of packaging and documentation. Liability for damage of returned goods in transit shall be that of Client. The Company reserves the right to make a reasonable charge to the Client in respect of damage to returned Goods, whether by the Client, one of its agents or a third party, upon inspection, and subsequent notification to the Client.
All written notices to be served on or given to the client shall be sent or delivered to the client's principle place of business and shall be treated as having been given upon receipt.
The Company will take all reasonable steps to ensure the protection from loss, damage or destruction of the goods or materials it supplies to the Client (or which may be received from the Client).
Both parties shall maintain strict confidence and shall not disclose to any third party any information or material relating to the other or the others business which comes into that party's possession and shall not use such information and material. This provision shall not, however, apply to information or material which is or becomes public knowledge other than by breach by a party of this clause.
Subject to the prior written consent of the Company the Client shall not induce to employ, whether as an employee, agent, partner or consultant, any employee of the Company directly associated with delivery of the Goods.
13.1 The Company shall not be liable for any claim arising out of the performance, non-performance, delay in delivery of or defect in the Goods nor for any special, indirect, economic or consequential loss or damage howsoever arising or howsoever caused (including loss of profit or loss of revenue) whether from negligence or otherwise in connection with the supply, functioning or use of the Goods.
13.2 Nothing herein shall limit either party's liability for death or personal injury arising from the proven negligence by itself or its employees or agents.
13.3 The Client shall fully indemnify the Company against any liability to third parties arising out of the Client's use of the Goods.
The Company will not be liable to the Client for any loss or damage suffered by the Client as a direct result of the Company or its sub-contractors being unable to perform the Contract in the way agreed by reason of cause beyond its control including Act of God, accident, war, riot, lockout, strike, flood, fire, power failure, breakdown of plant or machinery, delay in transit, postal delay, or any other unexpected or exceptional cause or circumstance.
These Terms of Trading shall be subject to and construed in accordance with the laws of England and the parties hereby submit to the exclusive jurisdiction of the English courts
We will charge you for the deposit for hire of the cylinder for 10L, 20L and 30L sized welding gas cylinders when purchased .
When you return the cylinder to us without damage, signs of misuse or contamination we will refund a proportion of the depsoit to you as below.

7. WEEE & EEE
Xtreme Precision Engineering Ltd and/or its related, affiliated and subsidiary companies are committed to ensuring correct recycling of WEEE and EEE products. At the end of life of products, we will accept return to us for correct recycling as per WEEE recommendations, you will be liable for cost of returning goods to us for recycling.
8. Returns
Returns will not be accepted unless previously agreed in writing by the Company. In cases where goods have been correctly supplied by the Company and the return is to be accepted a minimum handling charge of 20% of sales value may be levied. Any returns are made at the Purchaser's own cost and returns must be insured to received by us in new condition.
9. Cancellation
Cancellation of order will only be accepted with the consent of the Company and on terms which indemnify it against all loss. This may result in a cancellation charge being levied. Any goods returned to the Company without the prior written consent of the Company will not under any circumstances be accepted for credit or refund.
10. Changes of product specification and information
The Company policy is one of continuous product development in the goods it supplies. The Company therefore reserves the right to make reasonable changes to product specifications at its discretion without prior notice. Certain laws and regulations apply to your use of CNC machines automated equipment and it essential you comply with your local and any international regulations for construction and use of automated equipment. These diagrams are a guide to wiring your machine and do not constitute advice or direction to complying with your legal obligations and any health and safety requirements you must comply with. It is crucial you understand the dangers and safety implications when automating your machine or system and special care must be taken when automating your spindle or other cutting tools or equipment and we are showing a simple setup which will be amended without notice to show the complexity of automating cutting tools, but you are again responsible for meeting and understanding your specific end customer use and or meeting all necessary safety regulations and these can and do change regularly so consult your local regulations and make sure you observe all safety regulations .
You are required and agree to maintain compliance with all applicable laws and regulations. You understand and agree that you are solely liable for compliance with such laws and regulations, and under no circumstances shall xtreme precision engineering ltd. be responsible or held liable for such compliance. You understand that breach of such laws and regulations may result in both criminal and civil sanctions against you. In accordance with these terms and conditions for xtreme precision engineering ltd. you agree to indemnify xtreme precision engineering ltd. for any violation of such laws and regulations. Before using any drawings or wiring diagrams please check on our website for latest version, all wiring diagrams should have a version number if not please contact us so we can amend and issue version information.
11. Origin of Goods
The Company makes no representation and gives no warranty in respect of the sources or origin of manufacture or production of the Goods or any part thereof.
12. Disputes
The parties will attempt in good faith to resolve any dispute or claim relating to this contract failing which they will attempt to resolve the dispute through an alternative dispute resolution procedure as recommended by the Centre for Dispute Resolution. If the parties fail to resolve the dispute after 3 months then the dispute will be referred to arbitration to be carried out by a single arbitrator agreed by the parties or recommended by the President of the Chartered Institute of Arbitrators according to the provisions of the Arbitration Act 1996 and the decision of the arbitrator shall be final and binding on the parties.
13. Third party rights
The Parties to this Contract do not intend any term of this Contract to be enforceable by a third party pursuant to the Contracts (Rights of Third Parties) Act 1999.
14. Patents & Copyrights
The sale of goods and publication of data does not imply freedom from patent or other protective rights.
